Vendor Code of Conduct

Jack in the Box Inc., including the Jack in the Box® restaurant brand (the “Company”), holds itself and its employees to the highest ethical and moral standards in everything we do. We hold our vendors and business partners to these same high standards. Our customers and stakeholders rightly expect no less. The Company therefore requires that all goods used or sold in Jack in the Box restaurants be produced in facilities that meet basic expectations with respect to human rights, working conditions and protection of the environment. The requirements described below are meant to ensure that these expectations are achieved.

Vendor hereby acknowledges receipt of, and agrees to comply with applicable provisions of this code of conduct. Additionally, the Company and Vendor acknowledge and agree that Vendor may have its own code of conduct, social responsibility and/or compliance policy (“Vendor Policy”) in force, and Vendor represents and warrants that it will comply with any such policy. Should Vendor’s Policy conflict with the Company’s Code of Conduct, then the more rigorous standards and protections will govern.

Compliance with Applicable Laws and Regulations:

Our agents, vendors and factories for which products are made for us (collectively, our “vendors”) must comply with all applicable laws and regulations, including but not limited to all environmental and labor laws and regulations, as well as all laws, regulations, and internationally adopted restrictions concerning bribery and corruption.

Health and Safety:

Our vendors must provide their workers with a safe and healthy workplace and safe working conditions.

Child Labor:

Our vendors must not use child labor. The term "child" is governed by the national laws of the country where the products are being made, including laws defining the age for completing compulsory education. If the laws of that country do not provide a definition, or if the definition includes individuals below the age of 14, Jack in the Box defines “child” to be anyone who is less than 14 years of age.

Forced Labor:

Our vendors shall not use forced labor, whether in the form of prison labor, indentured labor, bonded labor, or otherwise.

Wages and Benifits:

Our vendors must comply with all applicable laws relating to wages and benefits, and must pay at least the legally prescribed minimum wage or the prevailing legally required industry wage, whichever is higher.

Working Hours:

Our vendors must, at minimum, comply with all applicable laws relating to working hours. All overtime must be fully compensated in accordance with the requirements of local law. Except in extraordinary circumstances, or in conformance with industry standards, employees must not work more than 12 hours in any given day, and must be provided with at least one day off in every seven-day period.

Harassment or Abuse:

Our vendors must respect the rights and dignity of their employees. Jack in the Box will not tolerate human rights abuses, including physical, sexual, psychological, or illegal harassment or abuse of workers.

Discrimination:

Workers must be employed, retained, and compensated based on their ability to perform their job, and shall not be discriminated against on the basis of gender, race, color, national origin, religious, ethnic or cultural beliefs, age, or any other prohibited basis.

Posting of the Code:

A copy of this Code shall be posted, in the appropriate local language, where it can be seen and read by our vendors’ employees.

Monitoring and Compliance:

Jack in the Box and our representatives – including purchasing agents or third-party monitors – may audit vendor facilities on either an announced or an unannounced basis. We expect all vendors to cooperate fully with such audits and auditors, and to provide access to all facilities and documents in order to enable auditors to determine whether such facilities are in compliance with the expectations set forth in this Code. If we identify violations of this Code or other related issues of concern, we encourage our vendors to strive for remediation and continuous improvement wherever possible. However, depending upon the severity of the findings, we will take additional action up to and including cancellation of purchase orders and termination of our business relationship with the vendor in question when necessary.
